Terms Of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and UAB Wantly, a company organized under the laws of the Republic of Lithuania, having its registered office at V. Nagevičiaus g. 3, LT-08237 Vilnius, Lithuania (“Company,” “we,” “our,” or “us”).
By accessing, registering for, or using our SaaS platform and related services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Eligibility

  • The Service is intended primarily for business customers (B2B).
  • You represent and warrant that you are authorized to bind the entity you represent to these Terms.

2. Account Registration and Security

  • You must provide accurate and complete information when creating an account.
  • You are responsible for safeguarding your login credentials.
  • We reserve the right to suspend or terminate accounts at our sole discretion.

3. Payments and Billing

  • The Service is offered under monthly or annual subscription plans.
  • Fees are charged in Euros (EUR).
  • You authorize us and our payment processor (Stripe) to charge your payment method automatically for recurring fees.
  • Payments must be made in full and on time to maintain access to the Service.

4. Refund and Cancellation Policy

  • Monthly subscriptions: if you cancel, your access remains active until the end of the paid billing period, and no refunds are issued.
  • Annual subscriptions: if you cancel, your access remains active until the end of the prepaid year. As per applicable EU consumer protection laws, if you are an individual consumer (not a business client), you may have a statutory right to withdraw within 14 days of purchase. After this period, no refunds are provided.
  • For business clients (B2B), all payments are final and non-refundable.

5. License to Use the Service

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely in accordance with these Terms.

6. Prohibited Conduct

You agree not to:
  • Use the Service for any illegal or unauthorized purpose.
  • Upload, share, or transmit any content that infringes intellectual property rights, violates privacy, or is otherwise unlawful.
  • Attempt to interfere with the security, functionality, or performance of the Service.

7. User-Generated Content

  • You retain ownership of content you submit to the Service.
  • You grant us a perpetual, worldwide, royalty-free, irrevocable license to use, reproduce, modify, and display such content to operate and improve the Service.
  • You are solely responsible for your content and agree to indemnify us against any claims arising from it.

8. Intellectual Property Rights

All rights in and to the Service, including software, code, trademarks, and designs, belong exclusively to UAB Wantly or its licensors. You may not copy, modify, reverse-engineer, or create derivative works without prior written consent.

9. Data Collection and Analytics

  • We collect usage data, analytics, and performance metrics regarding your use of the Service.
  • This information may be used to improve the Service, for security, for marketing, and for other legitimate business purposes.

10. Third-Party Service Providers

We use third-party service providers, including but not limited to:
  • Stripe (payment processing)
  • AWS (hosting and infrastructure)
  • Google Analytics (usage analytics)
  • Intercom (customer communications)
  • Hubspot (CRM and marketing)
By using the Service, you consent to the use of such third parties.

11. Privacy Policy

12. Termination

We may suspend or terminate your account and access to the Service at any time, for any reason or no reason, without liability to you.

13. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

To the maximum extent permitted by law:
  • We shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, business interruption, or data loss.
  • Our total liability for any claim shall not exceed the amount you paid to us in the six (6) months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless UAB Wantly, its officers, employees, and affiliates against all claims, damages, liabilities, and expenses arising from your use of the Service or breach of these Terms.

16. Governing Law and Dispute Resolution

  • These Terms shall be governed by the laws of the Republic of Lithuania.
  • Any disputes shall be resolved exclusively by binding arbitration in Vilnius, Lithuania, under the rules of the Vilnius Court of Commercial Arbitration.
  • You waive any right to participate in class actions.

17. Copyright and DMCA Policy

While the Digital Millennium Copyright Act (DMCA) is a U.S. law, we recognize global copyright standards. If you believe your intellectual property rights have been infringed by content on our Service, please submit a written notice to:

18. Changes to These Terms

19. Miscellaneous

  • If any provision is found invalid, the remaining provisions remain in effect.
  • Failure to enforce any provision does not constitute a waiver.
